The year in brief

What management said about the year

Guidance figures: 9 new.

  • Net sales fell on lapped ERP shipments: Net sales fell 2% to $1.95 billion, with GOJO adding about 10 points. Organic sales fell 13%, mainly from lapping about 13.5 points of incremental ERP-transition shipments in the year-ago quarter.
  • Full-year sales fell 5% on lapping: Fiscal 2026 net sales fell 5% to $6.72 billion. Organic sales fell 8%, mainly from lapping about 7.5 points of ERP-related shipments. GOJO added about 3 points.
  • Household and Lifestyle volumes fell most: Household net sales fell 18% with segment adjusted EBIT down 56%. Lifestyle net sales fell 17% with segment adjusted EBIT down 60%, both mainly on lower volume.
  • Gross margin fell 520 basis points: Gross margin fell to 41.3% from 46.5%, driven by lower volume, the GOJO inventory step-up, higher commodity costs and higher manufacturing and logistics costs, partly offset by cost savings.
  • Retailers drew down pre-ERP inventory: Retailers drew down inventory built ahead of the U.S. ERP transition during fiscal 2026, lowering company shipments. Management said this reduced fiscal 2026 EPS by about 90 cents.

The four segments

Health and Wellness covers cleaning, disinfecting, sanitizing and professional products sold in the United States, including home care and laundry additives under Clorox, Clorox2, Pine-Sol, Scentiva, Tilex, Liquid-Plumr and Formula 409, skin sanitization under Purell and GOJO, professional cleaning under CloroxPro and Clorox Healthcare, and food service products under Hidden Valley. Household covers Glad bags and wraps, Fresh Step and Scoop Away cat litter and Kingsford grilling products in the United States. Lifestyle covers Hidden Valley food products, Brita water filtration and Burt's Bees personal care in the United States. International covers everything sold outside the country, including laundry additives and home care under Clorox, Poett, Pine-Sol, Clorinda and Chux, Glad bags and wraps, Ever Clean and Fresh Step cat litter and Brita filtration. By product line, cleaning products were 44% of consolidated net sales in fiscal 2026, bags and wraps 15%, food products 11% and cat litter 10%.

GOJO and Glad

In April 2026 the company completed the acquisition of GOJO, adding the Purell brand and GOJO's health and hygiene products. It bought all the issued and outstanding membership interests, and the business now operates as Clorox Purell from northeast Ohio. The company frames the deal as expanding its position in health and hygiene and strengthening its business-to-business presence in healthcare and other institutional markets, through an established distribution network and a large installed base of dispensing systems that generate repeat demand. Separately, the venture agreement with Procter and Gamble covering the Glad bags and wraps business expired on 31 January 2026, and on expiry Clorox was required to buy Procter and Gamble's 20% interest in that business at fair value; Glad keeps the exclusive core intellectual property licences contributed by Procter and Gamble, royalty-free, for the licensed products it markets.

The year and the strategy

The IGNITE strategy rests on four choices: fuelling long-term profitable growth, innovating consumer experiences, reimagining how the company and its people work, and continuously evolving the portfolio, with sustainability integrated across them. The company entered fiscal 2026 implementing and stabilising a new enterprise resource planning system, which created expected near-term disruption. Macroeconomic uncertainty influenced shopping behaviour during the year, slowing categories and lowering sales, and the final phase of the system implementation pulled certain sales into the prior year ahead of consumption, so organic sales and earnings fell. Diluted net earnings per share fell 26% against the prior year, which the company attributes to lower sales and higher manufacturing and logistics costs, partly offset by lapping the loss on the divestiture of the Better Health vitamins, minerals and supplements business. New products during the year included Clorox PURE and Clorox Screen+ Sanitizing Wipes, expanded professional hygiene products from Clorox Healthcare and Purell, Fresh Step Lightweight Litter, Glad ForceFlex MaxStrength LeakGuard trash bags and new Burt's Bees lip and body care.

Selling and supply

In the United States most products are nationally advertised and sold to mass retailers, grocery outlets, warehouse clubs, dollar stores, home hardware centres, military stores and other retail outlets mainly through a direct sales force, to grocery stores and wholesalers through a mix of direct teams and brokers, and through e-commerce retailers, with some brands sold direct to consumers. Institutional, janitorial, food service and healthcare products go through a direct sales force and brokers to distributors and redistributors. Outside the United States products reach the retail trade through subsidiaries, licensees, distributors and joint ventures with local partners. Raw materials come from numerous unaffiliated suppliers in the United States and abroad, some of them sole or single source, and the key inputs are resins, non-woven fabrics for wipes, sodium hypochlorite, corrugated cardboard, soybean oil, solvent, derivatives of amines and other chemicals and agricultural commodities; they were generally available during fiscal 2026, and price volatility is managed with commodity futures and swaps and long-term supply arrangements.
